You agree that Smart ERP may modify this Agreement and the Services it provides to you from time to time. By continuing to use the Services after any revision to this Agreement or change to the Services, you agree to comply with and be bound by any such revisions or changes. - Specific information
You agree to maintain accurate information by providing Smart ERP updates, as needed, while you use the Services. You agree to notify Smart ERP within five (5) business days of any change in the information you provided as part of the application and/or registration process. Your failure, for any reason, to respond within five (5) business days to any inquiries made by Smart ERP to determine the accuracy of the information provided by you will constitute a material breach of this Agreement. If you provide any information that is inaccurate, not current, false, misleading or incomplete, or if Smart ERP has reasonable grounds to suspect that your information is inaccurate, not current, false, misleading or incomplete, Smart ERP has the absolute right, to In its sole discretion, to terminate its services and close your account. - Third party software
Smart ERP provides you with certain third-party software to facilitate account management, including, but not limited to, cPanel, etc. THESE SOFTWARE ARE PROVIDED ON AN “AS IS” AND AS AVAILABLE BASIS. We do not guarantee that any specific results will be obtained using such software. Smart ERP does not bear responsibility for any errors in the operation of this software.
By using Smart ERP Services that include Third Party Software, you specifically agree to the relevant third party's terms of service and that you must use the Services in accordance with such terms. Below are examples of when you are certifying your agreement to the terms of third-party software. The examples are not exhaustive. If you request the use of cPanel for your Hosting Services, your order constitutes your express agreement with the cPanel Terms and you authorize Smart ERP to agree to these terms on your behalf. cPanel's Terms of Service can be found here. If you purchase Microsoft Windows for a dedicated server and ask Smart ERP to manually assist you in installing this product, your request constitutes your express agreement with the Microsoft Windows Terms of Service and you authorize Smart ERP to agree to these terms on your behalf. The Microsoft Windows Terms of Service can be found here. Your failure to comply with any third party license may result in immediate termination of your Services by Smart ERP.
You may only add and use third party software on your account if it is compatible with our servers and approved by Smart ERP. Your use of any third-party software is at your own risk. Smart ERP does not control, and therefore cannot be responsible for, the performance of any third-party software, and makes no assurances that its use will produce any particular result or result. Smart ERP will have no liability or responsibility for any damage, loss of data, loss of use, or any other loss that occurs in connection with your use of third party software or products. Smart ERP reserves the right, in its sole discretion, to terminate, suspend, cancel or change your access to Third Party Software at any time.
You are solely responsible for any licensing and other fees required by software providers, for use of any third-party software installed on your account except for initial account setup. - Third Party Content
If you choose to sell or resell advertising or web space to a third party, you will be responsible for the contents of such advertising and the actions of that third party. Smart ERP has the absolute right to reject any advertising or other third party content that is illegal, offensive, or violates Smart ERP's current policy or agreement. Such content may result in immediate suspension or termination of your account. You are responsible for monitoring all Service renewals and requests. If an error occurs, the account holder must immediately notify Smart ERP of the error. In no event will Smart ERP be liable to the Account Holder for any damages arising out of or in connection with any failure or delay in registering, transferring or renewing a domain. - Billing and payment
All fees for the Services shall be in accordance with the Smart ERP Fees and shall be due at the times stated therein. Fees for renewal terms after the Initial Term will be due and payable immediately on the first day of such renewal term. In addition, if any amount owed to Smart ERP remains unpaid on the termination date of the Services, Smart ERP may immediately terminate this Agreement and/or withhold or suspend the Services. You must pay all taxes, fees, and governmental charges related to the Services provided under this Agreement.
If you incorrectly charge for provided web hosting services, we may disable the ability to transfer any of your other Smart ERP Services away from Smart ERP. - Termination and Cancellation Policy
The initial term of your agreement with Smart ERP shall be as stated in your Order Form. The Initial Term begins when the Services on the Order Form commence. After the Initial Term, your agreement with Smart ERP will automatically renew for successive terms equal to the duration of the Initial Term, unless terminated or canceled by either party as set forth in this Section. This Agreement may be terminated: (1) by you by submitting a ticket Help Desk under the Billing Issues category at least three (3) business days before the account is scheduled to renew; or (ii) by Smart ERP at any time, without prior notice, if you, in Smart ERP's sole discretion, violate any terms or conditions herein; or (iii) in Smart ERP's sole discretion, your use of the Services imposes or is likely to impose unreasonable demands on Smart ERP or may disrupt Smart ERP's business operations - In the event of termination or suspension of the Services, you agree not to return any previously paid fees to you. Smart ERP may control any domain name associated with the terminated Services.
